Trách nhiệm chính
- Monitor and ensure adherence to joint venture agreement, charter, policies, and Vietnamese laws, proactively identifying, assessing, and mitigating legal exposures across all joint venture operations.
- Maintain and manage records of the joint venture’s compliance‑related documents, including Members’ Council meeting minutes, resolutions, and appointment letters.
- Provide legal review and support, and obtain approvals for the joint venture’s contracts, including customer contracts, vendor agreements, and intercompany transactions, and make recommendations to the Executive Board and Members’ Council.
- Provide legal review and support for the joint venture’s day‑to‑day operations, including claims, collections, and disputes.
- Ensure all legal and contractual commitments are reviewed for compliance with the approved Delegation of Authority (DoA) and internal approval processes.
- Serve as Secretary to the Members’ Council, coordinating meeting agendas, assisting in preparation of submissions, preparing minutes and draft resolutions, and providing structured risk analysis and compliance confirmations.
- Provide legal and compliance review and advisory on related‑party transactions to mitigate risks and ensure alignment with approved policies and applicable regulations.
- Identify potential conflicts of interest and manage the disclosure, documentation, and escalation process.
Yêu cầu
- Hold a law degree.
- Have 3–5 years of relevant post‑qualification experience in corporate, commercial, or in‑house legal practice in Vietnam.
- Have experience providing commercial legal counsel support, including contract review and legal risk assessment.
- Have knowledge of legal and regulatory compliance requirements, including corporate, labor, and tax matters.
- Have experience supporting governance processes, executive or management committee submissions, and compliance reviews.
- Have the ability to identify legal risks, manage conflicts of interest, and provide clear legal recommendations to stakeholders.
- Communicate and draft legal documents clearly in both Vietnamese and English.
- Work effectively with operations, finance, HR, and commercial teams, while maintaining confidentiality and sound professional judgment.
